Terms of Service

These Terms of Service (“Terms”) govern your use of CliffPop — the website, mobile experience, and related services (the “Service”) operated by Just Some Coding Ltd, a company registered in Malta (together with the CliffPop product, “CliffPop”, “we”, “us”). CliffPop is a brand and product of Just Some Coding Ltd. By creating an account or otherwise using the Service, you agree to these Terms. If you don’t agree, please don’t use the Service.

1. Who can use CliffPop

You must be at least 18 years old to create an account, purchase credits, or watch the catalogue. You must provide accurate registration information and keep your password confidential. You’re responsible for activity that happens under your account.

We may refuse, suspend, or terminate accounts that violate these Terms, including accounts created by people we believe to be under 18.

2. What CliffPop is

CliffPop is a distribution platform for vertical drama. We host, deliver, promote, and operate payment flows for fiction series produced by independent creators. We do not own, edit, or take editorial credit for the creative work itself — that belongs to the creator.

3. Your account

  • You may have one account per person.
  • Account roles include viewer, creator, and administrator. Role assignment is at our discretion and creator status is granted only after a successful pitch review.
  • You may close your account at any time. Some data is retained as described in our Privacy Policy, principally for tax and accounting reasons.

4. Credits, purchases, and unlocks

  • Credits are the in-platform unit you use to unlock paid episodes. They are purchased in packs through Stripe and are not transferable, redeemable for cash, or refundable once spent on an unlock.
  • Unlocked episodes stay unlocked. Once you spend credits to unlock an episode, you can re-watch it on your account for as long as the episode remains in the catalogue.
  • Refunds for unspent credit purchases follow our published refund flow and applicable consumer-protection law in your country.
  • Pricing may change. Changes apply to future purchases only and don’t affect credits you already hold.
  • Free / bonus credits. CliffPop may grant promotional credits at signup, on a daily-login basis, or as ad-hoc bonuses (collectively, “free credits”). Free credits are non-transferable, have no cash value, and the total unspent free-credit balance on an account is capped at 200 credits. Once your unspent free balance reaches the cap, further free or bonus grants are skipped (or partially clipped to the remaining room) until you’ve spent some credits and your free balance is below the ceiling again. The cap applies only to free / bonus credits — credits you have purchased are unaffected and may be held in any amount alongside your free balance. CliffPop may suspend, reduce, or end any promotional credit programme at any time.

5. Acceptable use

You agree not to:

  • Reverse engineer, scrape, or systematically download the catalogue.
  • Re-distribute, mirror, or rebroadcast CliffPop content outside the Service.
  • Bypass payment, age verification, or unlock mechanisms.
  • Use the Service to harass, defraud, or harm another user.
  • Upload malware or interfere with the Service’s operation.
  • Use automated tools (including AI agents) to mass-create accounts, generate fake views, or manipulate creator earnings.

6. Creator terms

If you publish a series on CliffPop, the following additional terms apply alongside the rest of this document.

6.1 Your content is yours

CliffPop does not claim ownership of any creator content. You retain all intellectual property rights in your scripts, footage, music, characters, performances, and artwork. You retain the right to publish, adapt, license, and exploit the work in any other venue or medium.

You grant CliffPop a non-exclusive, worldwide licence to host, transcode, store, transmit, promote, and stream your content to viewers through the Service for as long as your content remains on the platform under these Terms. This licence exists solely to operate the Service. It does not transfer ownership and it ends when your content is removed from the platform under section 6.4.

You confirm that you own or have all necessary rights to the material you upload, including music, footage, performer releases, and any third-party assets. If a rights-holder makes a valid claim against material you supplied, you agree to indemnify CliffPop for the cost of resolving it.

6.2 Earnings — tiered revenue share

Creators receive a share of the net revenue (viewer payments after VAT) generated by paid unlocks of their series. The share is tiered and assessed separately for each series and for each calendar month:

  • 30% of net revenue on the first €10,000 of a series’ gross revenue in a calendar month.
  • 50% of net revenue on every euro of that series’ gross revenue above €10,000 in the same calendar month.

The tiers are marginal: only the revenue above the €10,000 threshold earns the higher rate, so a series never loses by growing. Each calendar month is assessed on its own — a quieter month is shared at 30%, a strong month earns 50% on its upside. The split is published and is not reduced by platform fees on top of the headline number. CliffPop may agree a different rate or threshold with an individual creator; any such variation is recorded in that creator’s distribution agreement.

Earnings are settled after each calendar month closes, once the month’s figures are final (including any refunds and chargebacks), and are paid the following month (monthly, in arrears). Once a month is settled, the rates applied to it are fixed and are not re-rated by any later change to the rates or thresholds. Each payout is accompanied by a statement detailing the series and months that contributed.

Payouts are made in EUR. We recommend creators set up a Stripe account and connect it for receiving earnings: Stripe transfers are the fastest method and carry the lowest fees for both you and CliffPop. Bank transfer or another method may be arranged as an alternative; standard payment-processing and currency-conversion fees apply at the point of payout transfer.

Refunds, chargebacks, and fraudulent transactions reduce the earnings of the month and series they originated from. Payouts reflect net, reconciled earnings.

6.3 Quality and content standards

Every episode you upload passes through CliffPop’s three-stage review (technical, editorial, standards) before it goes live. Content must comply with the Content Guidelines and the production brief in the Creator Handbook. We may reject or remove content that breaches either, with notes explaining why.

6.4 Content availability, removal, and sunset

Viewers who unlock paid episodes must keep access to what they paid for. CliffPop therefore keeps each series available on the platform for a minimum of five (5) years from the date its first episode is published, unless a different sunset arrangement is agreed in writing with the creator before publication and recorded in the distribution agreement. This gives the platform time to promote the work and gives viewers confidence that what they unlock will remain available.

A series may be retired (“sunset”) at or after the end of its availability period. Where a sunset is planned, CliffPop will give viewers who have unlocked episodes reasonable advance notice before the content is removed. A creator may request removal of their own series, but removal is still subject to this availability commitment to viewers who have already unlocked episodes.

The minimum availability commitment does not apply — and we may remove content sooner — in any of the following situations:

  • Legal compulsion. A valid court order, regulatory directive, lawful takedown request, or change in applicable law requires removal.
  • Rights claims. A third party asserts a credible claim that your content infringes their copyright, trademark, likeness, or other rights, and the claim cannot be resolved by modification.
  • Standards breach. The content is found to breach our Content Guidelines or the standards section of the Creator Handbook, including content involving minors in any sexualised context, real-world hate or violence, or material that is illegal under Maltese, EU, or originating-country law.
  • Fraud or manipulation. The content or its associated account is involved in fraudulent unlocks, view-manipulation, payment fraud, or coordinated abuse of the platform.
  • Platform safety. Continued availability poses a credible safety, legal, or reputational risk to viewers, creators, or CliffPop itself.

Where we remove content under these provisions, we will communicate the reason in writing where it’s safe and lawful to do so, and we will not pursue the indemnity in section 6.1 except where the cause is rights infringement that flowed from material the creator supplied.

Earnings already accrued before removal remain payable to the creator on the standard payout cadence, except where the earnings themselves are tied to fraudulent activity.

6.5 Exclusivity

The licence you grant CliffPop is non-exclusive. You are free to publish your work on other platforms, in other formats, and in other markets at the same time, subject to any separate agreements you sign with us covering specific titles.

7. Intellectual property of the platform itself

CliffPop’s name, logo, software, design, copy, and editorial materials remain the property of CliffPop Entertainment. Your right to use the Service does not transfer any rights in the platform itself.

8. Third-party services

The Service relies on a small number of trusted providers (payment processing, email, video hosting, content delivery) listed in our Privacy Policy. Their availability is outside our direct control; we work to keep the Service running but cannot guarantee uninterrupted access.

9. Disclaimer of warranties

The Service is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Nothing in this section limits any consumer-protection right you have under Maltese or EU law that cannot be waived.

10. Limitation of liability

To the fullest extent permitted by law, CliffPop’s aggregate liability to you arising out of or relating to the Service is limited to the greater of (a) the amount you paid us in the twelve months before the claim arose, or (b) one hundred euros (€100). We are not liable for indirect, incidental, consequential, or punitive damages.

Nothing in these Terms limits our liability for fraud, gross negligence, death or personal injury caused by our negligence, or any other liability that cannot be limited by Maltese or EU law.

11. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your account (a) for material breach of these Terms, (b) for legal or safety reasons, or (c) on reasonable notice for any other reason. Sections that by their nature should survive termination — including ownership, indemnity, limitation of liability, and dispute resolution — do.

12. Changes to these Terms

We may update these Terms from time to time. The “Last updated” date at the top reflects the most recent change. For material changes, we will notify registered users in advance by email or in-product notice. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

13. Governing law and disputes

These Terms are governed by the laws of Malta, without regard to its conflict-of-laws principles. The courts of Malta have exclusive jurisdiction over any dispute arising from or relating to these Terms or the Service, except that nothing prevents a consumer from bringing a claim in the courts of their country of residence where the law of that country gives them that right.
